New Board Design Opens 12 VEC Director Positions in 2010

Finally, the time has come! As you likely remember, at our Annual Meeting in 2009, members voted to create new VEC Director Districts to be implemented in 2010. The new District design is a hybrid, balancing District representation with other positions being elected “at large.” The entire territory has been divided into seven new, larger Districts, each District representing a nearly equal number of members. In addition, five Directors will be elected at large: two from the Eastern Zone and three from the Western Zone. 

Because of the complexity of switching to the new design, all Director seats will be up for election in 2010. Directors elected in 2010 will serve initial terms of one to four years, and elections will be staggered from 2011 onward.  It is important to understand that even though each of the two at-large Zones contains several Districts, a candidate for the Board may run for only one position at a time, choosing to run for either a District position or a Zone position. Directors will have equal status on the Board, with one vote per Director, regardless of whether he or she represents a District or a Zone.

If you are currently a VEC member and are not employed by the Cooperative, or are not in any way employed or have financial interest in a business selling electric energy or supplies to the Cooperative, you are eligible to become a Director. To run, your principal residence must be within VEC territory.

Any member interested in running must first file a petition signed by at least 15 members from his or her District or Zone. The Bylaws provide the rules concerning submission of petitions. In order to be a qualified signature on the petition, the signer’s name and signature will be validated, and the electric account and membership must be in the signer’s name. Only one name can appear per membership. In the past there were instances where people thought they were members but their name was not actually on the electric account. Therefore their signature was disqualified. We encourage each candidate to obtain more than 15 signatures on his or her petition.

Once a candidate has all of his or her signatures, he or she must submit the petition along with a brief biography, statement of interest, and a photo to VEC no later than March 31, 2010. The deadline is stipulated in the Bylaws (Article IV, Section 2(a)). Once the petitions have been received, they will be reviewed by the Coop according to the stipulations set forth in the Bylaws (Article IV, Section 3(c) and the Secretary shall post such nominations.

All eligible candidates will be announced in the Spring 2010 issue of Coop Life. The statements of candidacy and ballots for Directors will be included in the mailing with the Notice of Annual Meeting to members scheduled for mailing on April 21st. Each member will be allowed to vote for one Director from his or her District. Members who reside in the Western Zone will also cast a ballot for three additional Zone Directors, while those who live in the Eastern Zone will elect two Zone Directors.

These are exciting times to serve the members of VEC. Every member should consider that your Co-op is a democratically run organization that functions best with member input. Take the next step: become involved and run as a candidate for the Board of Directors.
